Terms and Conditions

By creating an account, placing an order, or enrolling in a farm share program at rubiconfarmranch.com (the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the Platform.

These Terms constitute a legally binding agreement between you and Rubicon Farm & Ranch ("we," "us," or "our"), located at 5716 Nelsons Bridge Rd., Hanover, VA 23069.

You must be at least 18 years of age to create an account. By registering, you represent that you are 18 or older.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at rubiconfarmranch@gmail.com if you suspect unauthorized access to your account.

You agree to provide accurate, current, and complete information during registration and to update your information as necessary to keep it accurate.

Pricing is determined by the price group assigned to your account (Retail, Member, or Wholesale). Prices are visible only to registered, logged-in customers. Prices are subject to change at any time for future orders.

Certain products — including whole chickens, beef cuts, and pork cuts — are sold by weight. For these products: the price displayed is a per-pound rate; the exact price of each package is determined by the actual weight of that specific package at the time of fulfillment; your order total will be calculated based on actual weights and may differ from any estimate shown at checkout; you authorize us to charge your payment method for the actual weight-based total at the time of payment capture.

For orders containing weight-variable products, your payment method is authorized (a hold is placed) at the time of order placement. The actual charge is captured after fulfillment when actual weights are confirmed. The captured amount reflects actual weights and may be less than or greater than the authorized amount, within a reasonable range.

All products are subject to availability. We reserve the right to cancel or modify orders if products are unavailable or if inventory errors occur. We will notify you promptly and issue a full refund for any cancelled items.

Orders must be placed before the published cutoff time for your selected pickup window. Orders placed after the cutoff will be fulfilled at the next available pickup window.

You are responsible for picking up your order at the selected location during the scheduled pickup window. Orders not claimed during the pickup window may be forfeited without refund, as perishable products cannot be held indefinitely.

You may cancel an order before the order cutoff time for a full refund. Orders cancelled after the cutoff time are not eligible for refund, as product has been allocated and prepared for your order.

All products sold through the Platform are perishable food items. We do not accept returns of any food products once they have left our possession at the time of pickup.

If you receive a product that does not meet our quality standards, contact us at rubiconfarmranch@gmail.com within 48 hours of pickup with a description of the issue and, where possible, a photograph. We will issue a store credit or refund at our discretion.

Orders not collected during the designated pickup window are not eligible for refund. If you are unable to attend a scheduled pickup, contact us before the pickup window and we will make reasonable efforts to accommodate you, subject to product availability and perishability.

Nature of the Transaction: Pre-sold ownership shares represent the purchase of fractional ownership interest in a live animal prior to processing. This structure is authorized under applicable agricultural exemptions.

Pricing: Share pricing is based on hanging weight (the weight of the carcass after slaughter and before processing). The price per pound of hanging weight, share fraction, and any applicable convenience fee are disclosed at the time of enrollment and locked in at that time.

Estimated vs. Actual Weight: The total cost of your share is estimated at enrollment based on average historical hanging weights. The final balance is calculated using the actual hanging weight of your specific animal. The final balance may be higher or lower than the estimate. You agree to pay the balance calculated from actual weight.

Processing Fees: Processing fees (cutting, wrapping, and packaging) are passed through to you at cost, calculated based on your share's fraction of actual hanging weight. Processing fees are disclosed at enrollment and are not subject to the convenience fee.

Deposit: A non-refundable deposit is required at enrollment to secure your share. The deposit amount is applied to your total balance.

Deposit Refund Policy: Deposits are non-refundable except in the event that Rubicon Farm & Ranch is unable to fulfill your share due to circumstances beyond your control (animal loss, force majeure, or farm closure), in which case your deposit will be refunded in full within 14 days.

Balance Payment: Your balance payment is due upon confirmation of actual hanging weight. Failure to pay the balance within 14 days of notification may result in forfeiture of your deposit and cancellation of your share.

Nature of the Commitment: CFTY enrollment represents a 12-month commitment to receive a specified quantity of pastured broiler chickens at a discounted price, delivered weekly, biweekly, or monthly according to your selected cadence.

Price Lock: Your price per unit is locked at the rate in effect at the time of enrollment and remains fixed for the duration of your 12-month commitment.

Payment Plans: Monthly plan — your payment method is charged per billing cycle matching your delivery cadence. Upfront Annual — the full 12-month commitment is charged at enrollment at a further discounted rate.

Cancellation: Early cancellation requires 14 days' notice. Monthly plan: no further charges after the final billing cycle; no refund for the current cycle. Upfront plan: a pro-rated refund for deliveries not yet received, less a 10% early cancellation fee.

Missed Deliveries: Missed deliveries due to your unavailability are forfeited. We are unable to carry over missed deliveries to subsequent weeks.

We accept major credit and debit cards through Stripe, Inc. By providing payment information, you authorize us to charge your payment method for all amounts due under these Terms.

If a payment fails, we will notify you and attempt to collect payment. Continued failure to pay may result in suspension of your account and cancellation of pending orders or share enrollments.

Payment processing is handled by Stripe, Inc. We do not store your full card number or CVV.

Transactional communications (order confirmations, payment receipts, pickup reminders) are sent regardless of your marketing preference as they are necessary for service delivery.

Marketing emails require your affirmative opt-in and may be withdrawn at any time by unsubscribing or updating your account preferences.

By providing your phone number and checking the SMS opt-in box during registration, you expressly consent to receive text messages including pickup reminders, order status notifications, and new product availability alerts. Message and data rates may apply. Reply STOP to opt out at any time. You are not required to provide your phone number or opt in to SMS as a condition of purchasing from us.

All content on the Platform, including text, photographs, graphics, logos, and software, is the property of Rubicon Farm & Ranch or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our express written permission.

You agree not to use the Platform for any unlawful purpose; attempt to gain unauthorized access to any part of the Platform or our systems; interfere with or disrupt the Platform's operation; create false accounts or impersonate others; resell products purchased through the Platform without our written consent; or use automated tools to scrape, copy, or extract data from the Platform.

THE PLATFORM AND ALL PRODUCTS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, RUBICON FARM RANCH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR OUR PRODUCTS.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

You agree to indemnify, defend, and hold harmless Rubicon Farm & Ranch, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Platform shall be resolved in the state or federal courts located in Hanover County, Virginia, and you consent to the personal jurisdiction of those courts.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform with a new effective date and, where appropriate, by email notification. Your continued use of the Platform after the effective date of changes constitutes your acceptance of the revised Terms.
